1.事實發生日:115/10/07 2.發生緣由:本公司114年4月10日董事會審查獨立董事被提名人資格，其中獨立董事 蕭丁瑞先生自擔任本公司獨立董事已連續達三屆，依「公開發行公司獨立董事設置 及應遵循事項辦法」第五條規定，應公告繼續提名其擔任獨立董事之理由。 3.因應措施:蕭丁瑞先生具備專業學識與累積多年公司管理及產業經驗，在就任期間 ，對於產業發展及營運管理能為本公司提供重要建言，雖已連任本公司三屆獨立董 事，但公司仍需借重其專業之處，使其於行使獨立董事職責外，仍可發揮其專長， 給與董事會監督並提供專業意見，故繼續提名其擔任本公司獨立董事。 4.其他應敘明事項:無。
